Terms of Service

The terms governing access to the Neosgo marketplace, order acceptance, pricing, account conduct, disputes, and platform enforcement.

These Terms of Service govern your use of the Neosgo website, buyer and seller portals, applications, APIs, and related services. By accessing or using Neosgo, you agree to these Terms and our related policies.

Marketplace role. Neosgo operates a curated commerce platform. We may review, moderate, suspend, reject, or remove listings, accounts, content, pricing, and transactions to protect marketplace integrity.

1. Eligibility and Accounts

You must be at least 18 years old and legally capable of entering binding agreements. If you register on behalf of a business, you represent that you are authorized to bind that business.

  • Account information must be accurate, complete, and kept current.
  • You are responsible for activity under your credentials and for maintaining account security.
  • Neosgo may request business verification, resale certificates, tax documents, or additional risk review at any time.

2. Marketplace Listings and Approval

Sellers are responsible for accurate listing data, images, inventory, product condition, specifications, and legal rights to market listed goods. Neosgo may require review and approval before a listing goes live or before sensitive changes become effective.

  • Approved listings remain subject to ongoing quality, compliance, and pricing controls.
  • Material changes to content, media, logistics configuration, or cost inputs may require additional review before taking effect.
  • Listings, descriptions, manifests, and images must not be deceptive, infringing, or misleading.

3. Pricing, Availability, and Order Acceptance

Displayed prices, freight estimates, taxes, and availability are subject to change until an order is accepted and confirmed. Neosgo reserves the right to decline, hold, limit, or cancel orders due to stock issues, pricing anomalies, fraud signals, policy violations, fulfillment restrictions, or legal requirements.

  • Order confirmation emails acknowledge receipt, not unconditional acceptance.
  • Taxes, fees, surcharges, and shipping costs may be determined at checkout or during fulfillment according to the applicable policy.
  • If a charge has already been captured for a cancelled order, the buyer will receive a refund or reversal through the original payment method unless another resolution is agreed in writing.

4. Payments, Tax, and Risk Controls

You authorize Neosgo and its payment providers to process the payment method you designate. Neosgo may delay settlement, require additional verification, reject tax-exempt claims pending review, or suspend transactional privileges when fraud, abuse, chargeback, or compliance concerns arise.

5. Shipping, Delivery, and Inspection

Shipping timelines are estimates unless expressly stated otherwise. Multiple shipments may be used for a single order. Buyers must inspect deliveries promptly and notify Neosgo of visible damage, missing items, or material discrepancies within the applicable claim window described in the Shipping and Returns policies.

6. Returns, Refunds, and Claims

Returns, refunds, and claim handling are governed by the specific listing terms plus the Neosgo Returns & Refunds Policy and Shipping & Delivery Policy, each of which is incorporated into these Terms by reference.

7. Acceptable Use and Prohibited Conduct

You may not use Neosgo to engage in fraud, platform abuse, or unlawful conduct.

  • Submitting false account, business, tax, or product information.
  • Manipulating pricing, availability, reviews, metrics, or approval workflows.
  • Uploading content that infringes intellectual property or violates third-party rights.
  • Scraping, reverse engineering, overloading, or disrupting platform systems without written permission.
  • Circumventing platform fees, controls, or communication channels in connection with marketplace transactions.

8. Intellectual Property

Neosgo, its logos, design assets, editorial content, software, data structures, and marketplace materials are protected by intellectual property and unfair competition laws. Except as expressly permitted, you may not reproduce, distribute, exploit, or create derivative works from platform content.

9. Suspension and Termination

Neosgo may suspend, restrict, or terminate any account, listing, API credential, or transaction capability immediately if we reasonably believe there has been fraud, abuse, security risk, legal exposure, excessive dispute activity, non-payment, policy violation, or harm to customer trust.

10. Disclaimers and Limitation of Liability

To the maximum extent permitted by law, the platform and services are provided on an "as is" and "as available" basis. Neosgo disclaims implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, except where such disclaimers are prohibited by law.

To the maximum extent permitted by law, Neosgo will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost data, lost business opportunity, or reputational harm arising from or related to the platform, even if advised of the possibility of such damages.

11. Governing Law and Disputes

Unless mandatory local law requires otherwise, these Terms are governed by the laws applicable to Neosgo contracting operations in the United States, without regard to conflict-of-law rules. Venue and dispute procedures may be specified in order documents, negotiated account terms, or other written agreements that apply to your account.

12. Policy Updates

Neosgo may update these Terms and related policies from time to time. Updated versions become effective when posted, unless a later effective date is expressly stated. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.
